These terms of service (“Terms”) govern your use of and access to products and services provided to you by Superbio.ai inc. (“Superbio.ai”, “us”, ‘we”, “our”), which include our website at https://www.superbio.ai (the “Site”), the artificial intelligence models developed by a Contributor (as defined below) or by us (each an “AI Model”) and that are presented to you within our library of AI Models (the “Platform”).  The Site, each AI Model and the Platform are collectively referred to as the “Superbio.ai Service”. Please note that these Terms include an arbitration clause with opt-out rights.

BY ACCEPTING THESE TERMS OR USING THE SUPERBIO.AI SERVICE YOU AGREE THAT YOU ARE ENTERING INTO AN AGREEMENT WITH US AND AGREE TO BE BOUND BY THESE TERMS.

IF YOU DO NOT AGREE TO THE TERMS, DO NOT USE THE SUPERBIO.AI SERVICE. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU REPRESENT THAT YOU ARE AN EMPLOYEE OR AGENT OF SUCH COMPANY (OR OTHER ENTITY) AND YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF SUCH COMPANY (OR OTHER ENTITY).

1. Definitions

• Account means User’s and/or Contributor’s registered account to access the Platform for use or upload of the AI Models using a secure and individualized login and password to manage the registered account.
• AI Model means the programs or algorithms developed by Superbio.ai, developed a Contributor, or developed by a Contributor and further modified by Superbio.ai, that utilizes artificial intelligence and/or machine learning (AI/ML) to analyze input data for the purpose of recognizing patterns or making predictions or decisions, and resulting in generated output.
• Contributor means the developer of an AI Model uploaded onto the Platform for use by User and Superbio.ai.
• Generated Output means the results produced by an AI Model based on analysis of the User Content.
• Platform means the library of AI Models on the Site.
• Site means the website at https://www.superbio.ai and all subdomains.
• Superbio.ai Service means access to and use of the Site, Platform and AI Models.
• User means the individual user of Superbio.ai Service.
• User Content means the information and data files that serve as data inputs and are uploaded into the AI Models to generate a Generated Output.

1. Terms applicable to Users and Contributors

All Sections other than Section 20 shall apply to Users.

Sections 1, 4, 6, 7, 8, 9, 10, 11, 16, 17, 18, 19, 20, and 21 shall apply to Contributors, but only in their capacity as Contributors. In the event any Contributor is also a User, the terms applicable to Users shall also apply.

1. Superbio.ai Service and License Grant

Superbio.ai offers Users access to its no-code Platform holding a library of AI Models and tools designed for use by researchers and companies in the life sciences industry.
