Effective as of January 27, 2025.

These Developer Terms and Conditions ("Terms") form a legally binding agreement between Superbio.ai, Inc. ("Superbio.ai"), a company organized under the laws of CALIFORNIA, and the individual or entity agreeing to these Terms ("Developer"). By using the Superbio.ai platform ("Platform") to distribute AI models ("Applications"), the Developer agrees to the following terms:

1. DEFINITIONS

1.1 Application: Any AI model, associated services, and related intellectual property provided by the Developer for integration and distribution on the Platform.

1.2 Platform: The Superbio.ai marketplace and associated services enabling Developers to distribute their Applications to users.

1.3 Confidential Information: Proprietary or non-public information disclosed under these Terms.

1.4 Revenue Share: The agreed percentage of revenue allocated to Superbio.ai for hosting, marketing, and maintaining the Developer’s Application, if applicable.

1.5 Net Product Sales: Revenue from sales or usage of the Application on the Platform, calculated as the product price minus associated computing and storage costs.

2. SCOPE OF AGREEMENT

2.1 Participation Options:

• Developers may choose to distribute their Applications commercially, offering them for a fee, or for free.
• Developers retain full control over their Applications' pricing models, including subscription-based, pay-per-use, or other custom structures.

2.2 Ownership and Licensing:

• Developers retain ownership of their Applications and associated intellectual property.
• Developers grant Superbio.ai a non-exclusive, royalty-free license to use the Application’s name, description, and non-sensitive metadata for promotional and analytical purposes.
